AB Bank is looking for suitable candidates to fill the position of Head of Legal and Company Secretary.
Among other responsibilities, you will be expected to:
- Serve as principal governance adviser to the Board on corporate governance, directors' duties, applicable laws, regulatory requirements, and governance best practices.
- Monitor and report legal risk trends, and emerging regulatory developments to Executive Management and the Board Risk Committee to support informed decision-making.
- Manage legal and regulatory compliance, monitor developments, anticipate emerging legal and regulatory changes, and provide timely advice to management and business units to enable proactive compliance and informed decision-making.
- Litigation & dispute resolution oversight.
- Trend analysis of disputes, claims, regulatory issues/ Dashboards on litigation exposure, regulatory breaches, contract risk.
Minimum Qualifications and Competencies:
- Senior leadership experience in a legal function, including advising Executive Management and the Board.
- Extensive corporate governance and Company Secretarial experience in a regulated environment.
- Strong expertise in banking regulation, legal risk management, and regulatory compliance.
- Proven experience in litigation, contract management, and legal advisory services, including employment and labour matters.
- At least 5 years’ post-admission experience.
- Strong knowledge of corporate law, contract law, regulatory compliance, and dispute resolution.
- University Degree in Law. ZAQA certification is a must.
- Must be Admitted to the Zambian Bar.
